1. About these terms

These Client Terms of Engagement apply when you purchase or engage Human Practice services through our website or by another direct online arrangement.

In these terms, “Human Practice”, “we”, “us” and “our” refer to [insert full registered company name], trading as Human Practice.

“You” and “your” refer to the person or business purchasing or receiving our services.

By completing a purchase, ticking the acceptance box at checkout, or otherwise confirming your engagement, you agree to these terms.

If you are purchasing on behalf of a business, you confirm that you are authorised to accept these terms on its behalf.

2. Our services

Human Practice provides business and brand advisory, strategic guidance, leadership and organisational support, and neuroscience-informed practices designed to support thinking, decision-making, behaviour and personal or professional development.

The services available may include:

  • First Impression Review

  • Business Clarity Session

  • Business & Brand Diagnostic

  • Private Business Advisory

  • Other services, workshops or programmes as described on our website or in a separate written agreement.

The specific service you purchase, including its inclusions, duration, format and deliverables, will be described on the relevant service page, checkout page or written confirmation.

We may agree to additional or modified services in writing.

3. Nature of our services

Our services are advisory, educational and developmental in nature.

We provide independent perspectives, strategic recommendations, practical guidance and tools to support your thinking and decision-making. You remain responsible for your own decisions, actions and business outcomes.

Unless expressly agreed in writing, our services do not constitute legal, accounting, financial, investment, medical or psychological advice. You should seek appropriately qualified professional advice where required.

We do not guarantee particular business, financial, personal or organisational outcomes. Results depend on a range of factors, including your circumstances, decisions, implementation and factors outside our control.

4. Fees and payment

All fees will be stated at the point of purchase or in a written proposal.

Unless otherwise stated, prices are in New Zealand dollars and include GST where applicable.

Payment is required in advance unless we agree otherwise in writing.

Where a payment plan or recurring payment arrangement applies, the payment schedule and amount will be disclosed before you commit.

You authorise the payment method you provide to be charged for the amount and timing agreed at purchase.

If a payment is declined or remains outstanding, we may pause or withhold services until payment is received, subject to applicable law.

5. Booking and delivery

Where a service requires an appointment, you will be provided with booking or scheduling instructions.

You are responsible for providing accurate contact details and attending scheduled appointments at the agreed time.

Services may be delivered online, in person or through another agreed format.

Any written review, recommendations, action plan or other deliverable will be provided in the format and timeframe described in the relevant service information or written agreement.

If circumstances require us to change an appointment, we will make reasonable efforts to notify you and arrange an alternative time.

6. Cancellations, rescheduling and refunds

If you need to reschedule an appointment, please provide at least 48 hours' notice.

Where less than 48 hours' notice is given, or you do not attend, we may treat the appointment as delivered and retain the fee to the extent permitted by law, taking into account the service purchased and any reasonable costs incurred.

If you cancel before work has commenced, we will consider any refund in accordance with the service purchased, the circumstances and applicable law.

Where work has commenced, any refund may take account of the work completed, resources committed and reasonable costs incurred, subject to your statutory rights.

If Human Practice cancels a service and cannot provide a reasonable alternative, you will be offered an appropriate refund for the undelivered portion.

Nothing in these terms limits any rights you may have under the Consumer Guarantees Act 1993 or other applicable New Zealand law.

7. Your responsibilities

To help us provide the services effectively, you agree to:

  • Provide accurate and relevant information.

  • Participate honestly and constructively.

  • Make your own assessment of recommendations before acting on them.

  • Take responsibility for decisions and actions arising from the engagement.

  • Treat any confidential information shared by Human Practice with appropriate care.

  • Respect the time, boundaries and professional conduct of everyone involved.

You are responsible for ensuring that any information you provide to us may lawfully be shared for the purposes of the engagement.

8. Confidentiality

We will take reasonable steps to protect confidential information you share with us and will not knowingly disclose it to third parties except:

  • With your consent.

  • Where disclosure is necessary to deliver the agreed services.

  • Where required or authorised by law.

  • Where the information is already public or was lawfully known to us without an obligation of confidence.

You agree not to disclose our confidential business information, proprietary materials or methods to others without our written permission.

Where a service involves group participation, we will ask participants to respect the confidentiality of information shared by others. However, we cannot guarantee the conduct of other participants.

9. Privacy and personal information

We collect and use personal information to administer bookings, deliver services, communicate with you, process payments and meet our legal obligations.

We will handle personal information in accordance with the Privacy Act 2020 and our Privacy Statement.

You may request access to, or correction of, personal information we hold about you by contacting us using the details above.

We will take reasonable steps to protect personal information from loss, unauthorised access, use or disclosure.

10. Intellectual property

All Human Practice materials, frameworks, resources, written content, processes and methodologies remain our intellectual property unless otherwise agreed in writing.

You may use materials supplied to you for your own personal or internal business purposes.

You must not reproduce, distribute, publish, sell, modify or commercially exploit our materials without our prior written permission.

Where a specific deliverable is created for you, any agreed rights of use or ownership will be set out in writing.

11. Neuroconditioning and integrative practices

Some services may incorporate neuroscience-informed exercises, reflective practices, mindset work, guided processes or other integrative approaches.

Participation in these practices is voluntary. You may ask questions, decline an exercise, pause or stop at any time.

You are responsible for communicating any relevant concerns or limitations that may affect your participation.

These practices are intended to support reflection, learning and development. They are not a substitute for medical care, mental health treatment or other professional healthcare services.

12. Third-party services and technology

We may use third-party platforms or providers to support service delivery, including video conferencing, booking, payment processing and digital communication.

Those services may be subject to their own terms and privacy policies.

We are not responsible for interruptions or failures caused by third-party platforms outside our reasonable control, but we will take reasonable steps to address any disruption affecting your engagement.

13. Liability

We will provide our services with reasonable care and skill.

To the extent permitted by law, we are not responsible for indirect or consequential loss, or for business decisions, actions or outcomes arising from your use of our services.

Nothing in these terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded or restricted under New Zealand law, including applicable rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

Where you are purchasing in trade and the law permits an agreed limitation or exclusion of liability, any such arrangement must be expressly agreed in writing and satisfy the applicable legal requirements. No business-to-business exclusion is created merely by accepting these online terms.

14. Complaints and concerns

If you have a concern about a service, please contact us in writing at [insert contact email].

We will consider your concern and make reasonable efforts to respond and resolve it constructively.

15. Changes to these terms

We may update these terms from time to time.

The terms applying to your purchase will be the version made available to you at the time you purchase or otherwise agree to the service, unless a change is agreed between us or required by law.

16. Governing law

These terms are governed by the laws of New Zealand. Any dispute will be subject to the jurisdiction of the New Zealand courts.

17. Acceptance

By purchasing a service, ticking the acceptance box at checkout or otherwise confirming your engagement, you acknowledge that you have had the opportunity to read these terms and agree to them.
